Project scope and objective
La presente operación (el “Proyecto”) consiste en la suscripción por parte de BID Invest de un Bono Vinculado a la Sostenibilidad (“SLB”, por sus siglas en inglés) emitido por Distribuidora Farmacéutica Ecuatoriana S.A. (“Difare”), por hasta US$35 millones, a un plazo de hasta cinco años, y la movilización de recursos para completar el costo total del proyecto que asciende a US$50 millones. Difare utilizará los recursos del Bono para financiar actividades corporativas generales, incluyendo capital de trabajo permanente e inversiones en Capex, con el objetivo de seguir ampliando su red de farmacias en el país.
Difare es una empresa ecuatoriana que se dedica a la distribución, comercialización y venta minorista de productos farmacéuticos, y forma parte del conglomerado de nueve empresas ecuatorianas del Grupo Difare. La empresa inició sus operaciones hace 40 años y actualmente cuenta con más de 5,000 empleados y atiende como distribuidor a más de 10,000 puntos de venta que cubren minoristas, mayoristas, farmacias, y centros de salud públicos y privados. La empresa es propietaria de marcas como Farmacias Cruz Azul, Farmacias Comunitarias y Pharmacy's.

Environmental and social review
IDB Invest conducts an environmental and social due diligence (ESDD) commensurate with the nature, scale, and stage of the project, and with its level of environmental and social risks and impacts. The ESDD will confirm the project E&S categorization and assess the project with respect to the client requirements in IDB Invest Environmental and Social Sustainability Policy. The results of the ESDD, including any identified gaps are described in the Environmental and Social Review Summary (ESRS) provided below. For projects approved as of 2016, any gaps with respect to IDB Invest's Environmental and Social Sustainability Policy at the time of the ESDD are addressed in the Environmental and Social Action Plan (ESAP) presented below, to comply with the date mentioned above.
