IDB Invest’s External Corporate Governance Guidelines set out, in clear and practical terms, how we approach governance when working with companies—and what that means across boards, controls, transparency, and shareholder dynamics. The emphasis is on decision-making: how governance shapes risk, strategy, and ultimately access to capital. 

Designed as a working reference rather than a checklist, the document reflects a proportional, principles-based approach, grounded in international standards but adapted to the realities of companies in Latin America and the Caribbean. 

It also clarifies how we engage with clients, helping reduce friction, establish a shared language early on, and position governance as a constructive part of the investment dialogue. For companies, it offers a straightforward way to understand expectations upfront, benchmark where they stand, and start the conversation in a way that reflects their own context and priorities.
